1. What the Services Do — and What They Are Not
The Services are decision-support tools. They generate analyses, insights, recommendations, scores, projections, summaries, and other outputs designed to help you make better, faster, and more informed business decisions. We build the Services to be genuinely useful to that end, and we expect you to use the AI Output as an input to your own thinking.
That utility is exactly why the boundary matters. The Services and all AI Output are provided for general informational and decision-support purposes only. AI Output is informational only and is not regulated financial, investment, legal, tax, accounting, audit, or fiduciary advice. Any analysis, recommendation, or score the Services produce is delivered on an impersonal basis — it is generated from the data and configuration you provide and is not tailored to your individual financial situation, regulatory status, or objectives, and it does not account for facts the Services have not been given.
Nothing in the Services or AI Output is a recommendation, solicitation, or offer to buy, sell, or hold any security, to enter into any transaction, or to pursue any particular course of action. The analyses, recommendations, and scores the Services generate are intended to support — not replace — your own judgment and the advice of qualified professionals. Any decisions you make based on the Services are made at your own discretion and risk.
2. No Professional Advice or Advisory Relationship
The Services and AI Output do not constitute regulated financial, investment, legal, tax, accounting, audit, fiduciary, or other professional advice, and do not create any professional relationship between you and GritFlow. GritFlow is not your investment adviser, broker-dealer, accountant, auditor, attorney, or fiduciary, is not registered or licensed as any of them, and does not provide regulated advisory, brokerage, accounting, audit, or legal services.
Your use of the Services creates no fiduciary, advisory, agency, or other special relationship between you and GritFlow, and GritFlow owes you no fiduciary or advisory duties. GritFlow does not act as your adviser, agent, or representative, and the provision of analyses, recommendations, or scores does not constitute the exercise of professional judgment on your behalf. You remain solely responsible for your decisions and their outcomes.
For decisions that require licensed professional judgment, regulatory supervision, filings, client-specific advice, or other high-stakes review, you should obtain review from a qualified professional who is licensed and competent in the relevant field before relying on or acting on AI Output. Your particular facts, jurisdiction, and objectives matter, and only an appropriately qualified professional can evaluate them for you. 3. No Guaranteed Results
GritFlow does not guarantee any particular outcome or result from your use of the Services or any AI Output, including any Profitability Insights (AI Output relating to revenue, costs, margins, pricing, operations, sales, finance, or business performance). We make no promise as to any return on investment, profit, cost savings, revenue, valuation, tax, accounting, investment, operational, or regulatory outcome.
Profitability Insights are estimates that depend on your data, the assumptions you make, and the way you configure the Services. They are decision-support, not a guarantee that any projected, scored, or modeled result will be achieved.
Any projections, forecasts, estimates, scores, models, or analyses the Services produce are illustrative only. They depend on the data you provide, the assumptions you make, and the way you configure the Services, and they will produce different results as those inputs change. They are not a substitute for the professional analysis, audit, or opinion of your own advisers, and they are not a representation that any projected, scored, or modeled result will be achieved.
4. Accuracy and Reliability of AI Output
AI Output is generated by automated systems that rely on models, statistical methods, and the data available to them. As a result, AI Output may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable for your particular purpose, and it may produce different results for different users or at different times. Automated systems can also generate output that appears plausible but is incorrect.
You are responsible for independently reviewing, verifying, and validating any AI Output before relying on or acting upon it, including by checking it against authoritative sources and the judgment of qualified professionals. You should not rely on AI Output as the sole basis for any material decision. In particular, AI Output should not be relied upon without appropriate safeguards and qualified human review in legal, medical, financial, safety-critical, or other high-risk contexts, where errors could cause significant harm.
Automated outputs, and any decisions that produce legal or similarly significant effects, should always be subject to meaningful review by a qualified human before you rely on or act upon them. 5. Responsibilities of Regulated Customers
If you are subject to regulatory, licensing, or professional-conduct obligations — including as an investment adviser, broker-dealer, accountant, auditor, attorney, lender, insurer, or other regulated professional — you remain solely responsible for meeting those obligations when you use the Services. The Services do not discharge them for you.
In particular, you remain responsible for the supervision and review of AI Output, for required recordkeeping and books-and-records obligations, for client and customer communications, for required disclosures, and for obtaining the approval of an appropriately licensed professional before relying on or acting upon any AI Output in a regulated context — including client-specific recommendations, securities transactions, tax positions, legal advice, and accounting or audit opinions.
6. Forward-Looking Statements
The Services may produce projections, forecasts, estimates, scenarios, scores, or other forward-looking statements. These are based on assumptions and information available at the time and are inherently uncertain. Actual results may differ materially from any projection or forecast.
Forward-looking statements are not guarantees of future performance or results. Past performance, where referenced, is not indicative of future results. You should not place undue reliance on any forward-looking statement, and GritFlow undertakes no obligation to update any such statement.
7. AI Transparency
The Services use artificial intelligence, including AI models and automated systems, to generate AI Output. Where the Services interact directly with you, we indicate that you are engaging with an AI system, so that you understand when content is AI-generated. This approach is intended to align with the transparency expectations of applicable law, including the disclosure obligations under Article 50 of the EU AI Act.
8. No Warranty / As Is
The Services and all AI Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that AI Output will be accurate, complete, or fit for any particular purpose.
This Disclaimer does not limit or modify the warranty terms in our Terms of Service. The full warranty disclaimers, and the allocation of risk between you and GritFlow, are set out in our Terms of Service, which control.
9. Third-Party Content and Links
The Services may incorporate, reference, or link to content, data, and resources provided by third parties. We do not control, endorse, or assume responsibility for any third-party content, and its inclusion does not imply our endorsement of it. Third-party content may be inaccurate or incomplete, and its accuracy and reliability are the responsibility of the relevant third party.
Any reliance you place on third-party content accessed through the Services is at your own risk, and your use of third-party products or services is governed by their own terms and policies.
10. Limitation of Liability
To the maximum extent permitted by law, GritFlow will not be liable for any loss or damage arising out of or in connection with your use of, or reliance on, the Services or any AI Output. Our liability is limited as set out in our Terms of Service, including the limitations of liability and the exclusions of indirect and consequential damages described there, which apply to this Disclaimer.
